By this contract concluded between the two parties whose full details are provided in the attached contracting form, referred to herein as "Party One" (the Supplier) and "Party Two" (the Client), collectively referred to as "the Parties". In accordance with the provisions of the Egyptian Civil Code No. 131 of 1948 (Articles 418-438 concerning sale), Commercial Law No. 17 of 1999, Consumer Protection Law No. 181 of 2018, Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this contract aims to regulate the relationship of supplying goods, materials, and products between Party One (the Supplier) and Party Two (the Client), whereby the Supplier commits to supplying specific goods or materials or products to the Client, either periodically or as a one-time delivery, in accordance with the agreed specifications, quantities, and timelines, in exchange for an agreed price, with the definition of delivery conditions, guarantees, payment terms, liability, terms of compensation and penalties, and rights of rescission and termination, all within a framework of transparency and commitment to the highest standards of commercial contracts and the organizing laws in the Arab Republic of Egypt. The parties have agreed to the following:

Article (1) Contract Definitions
1- The terms and phrases listed below - wherever they appear in this contract - shall have the meanings set forth alongside each of them, unless the context of the text requires another meaning:
2- Contract: refers to this supply agreement in its entirety, including its terms and appendices, with its preamble constituting an integral part thereof.
3- Supplier: the first party to this contract, being the natural or legal person obligated to supply goods or materials to the customer.
4- Customer: the second party to this contract, being the natural or legal person who purchases goods or materials from the supplier.
5- Goods / Materials / Products: the physical items subject to supply, detailed in Appendix (1) of this contract, including specifications, quality, quantities, trademarks, and any other characteristics.
6- Technical Specifications: the standards, measures, quality, and characteristics that must be present in the goods/materials/products, as specified in Appendix (2) of this contract.
7- Quantities: the amounts of goods/materials/products required to be supplied, as specified in Appendix (3) of this contract.
8- Supply Schedule: the specific timeline for supplying the goods/materials/products, including dates and quantities for each shipment, as specified in Appendix (4) of this contract.
9- Price: the financial amount that the customer is obligated to pay to the supplier in exchange for the goods/materials/products, as specified in Article (5) of this contract.
10- Delivery: the process of transferring possession of the goods/materials/products from the supplier to the customer, at the time and place specified in this contract.
11- Receipt: the process by which the customer accepts the goods/materials/products after inspecting them and ensuring they conform to the specifications.
12- Warranty: the supplier's obligation regarding the quality of goods/materials/products and their freedom from defects, as specified in Article (8) of this contract.
13- Risks of Damage or Loss: the assumption of risks related to the damage or loss of the goods/materials/products, in accordance with the terms specified in this contract.
14- Contract Period: the duration within which the parties are committed to the provisions of this contract, as specified in Article (3) of this contract.
15- Associated Parties: including subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

Article (2) Subject of the Contract and Goods/Materials/Products Subject to Supply

10- The goods/materials/products shall be supplied in accordance with the supply schedule specified in Appendix (4) of this contract, which indicates the dates and quantities for each shipment.
11- The supplier is obliged to notify the client in writing at least   days prior to the expected delivery date for each shipment.
12- In the event the supplier delays delivery beyond the specified time without an acceptable excuse, the client has the right to impose a daily delay penalty of  , provided that the total penalties do not exceed  % of the total contract value.
13- Third: Packing and Packaging:
14- The supplier is obliged to pack and package the goods/materials/products securely and appropriately, ensuring protection against damage during transportation and storage, in accordance with the standards agreed upon in Appendix (5) of this contract.
