This contract is made between the parties whose complete details are set forth in the attached contracting form, hereinafter referred to as "the First Party" (the theatrical producer / production entity) and "the Second Party" (the director / author / owner of the artistic work), collectively referred to as "the Parties." In accordance with the provisions of Egyptian Civil Law No. 131 of 1948, the Law on the Protection of Intellectual Property Rights No. 82 of 2002 (particularly Articles 138-178 regarding copyright and related rights), Commercial Law No. 17 of 1999, Personal Data Protection Law No. 151 of 2020, Media and Press Regulation Law No. 180 of 2018, and the laws and regulations in force in the Arab Republic of Egypt, this agreement aims to regulate the theatrical production relationship between the First Party (the theatrical producer / production entity) and the Second Party (the director / author / owner of the artistic work), wherein the producer undertakes to provide financial, logistical, and technical support for the production of a theatrical show (play, musical performance, or other theatrical work), including the provision of the theater, decor, lighting, sound, costumes, acting, directing, management, marketing, distribution, in return for a share of the revenues or a lump sum, specifying the intellectual property rights of the work, copyright and directing rights, performance schedule, revenue distribution mechanisms, and terms of compensation and penalties, all within a framework of transparency and adherence to the highest standards of the theatrical industry and the regulating laws in the Arab Republic of Egypt. The parties have agreed to the following:
Article (1) Definitions of the Contract
1- The words and phrases listed below - wherever they appear in this agreement - shall have the meanings set forth next to each of them, unless the context requires otherwise:
2- The Contract: This theatrical production agreement in its entirety, including all its terms and annexes, with its preamble considered an integral part.
3- The Theatrical Producer: The first party in this contract, being the natural or legal person (production company, individual) who undertakes to finance and manage the theatrical production, and provide logistical and technical arrangements.
4- The Director / Playwright: The second party in this contract, who is the holder of the directorial vision or the theatrical text, or both, and who supervises the artistic aspects of the work and directs the cast.
5- The Theatrical Work: The play or theatrical performance that is the subject of the production, detailed in Annex (1) of this contract.
6- The Theatrical Text: The written literary text of the play, including dialogue, characters, and stage directions.
7- Stages of Production: The stages of producing the theatrical work, which are: pre-production stage (rehearsals, arrangements), production stage (performances), and post-production stage (completion of performances, settlement).
8- The Theater: The venue or hall where theatrical performances are presented.
9- The Crew: All participants in the theatrical production, including the director, actors, designers (set, lighting, sound, costumes), assistant producers, and the technical management team.
10- Gross Revenue: The total financial amounts generated from theatrical performances (tickets, sponsorships, sale of broadcasting rights, sale of distribution rights, and others).
11- Net Revenue: The total revenue minus direct costs (production costs, rentals, fees for the crew, marketing costs, taxes, and any other agreed-upon costs).
12- Share Percentage: The percentage of net revenue that the director or playwright (or any other party) is entitled to according to the agreement.
13- Duration of the Contract: The period during which both parties are obligated to the provisions of this agreement, as specified in Article (3) of this contract.
14- Related Parties: This includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.

14- Financing: Providing full funding for the production according to the budget agreed upon in Annex (3).
15- Theatre: Providing a suitable theatre for performances (including rental, technical equipment, maintenance).
16- Set Design: Designing and implementing the set for the play.
17- Lighting: Designing and implementing the theatrical lighting.
18- Sound: Designing and implementing sound effects and the soundtrack.
19- Costumes: Designing and implementing costumes for the actors.
20- Makeup: Providing makeup services for the team.
