This contract is concluded between the parties whose complete data is provided in the attached contracting form, hereinafter referred to as "the First Party" (the Licensor / Trademark Owner) and "the Second Party" (the Licensee / Beneficiary of the License), collectively referred to as "the Parties". In accordance with the provisions of Egyptian Civil Law No. 131 of 1948, Intellectual Property Rights Protection Law No. 82 of 2002 (especially Articles 55-62 regarding trademarks), Trademark Law No. 45 of 2002, Commercial Law No. 17 of 1999, Personal Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to organize the relationship of trademark licensing between the First Party (the Licensor / Trademark Owner) and the Second Party (the Licensee / Beneficiary of the License), whereby the Licensor grants the Licensee a license to use its registered trademark within a defined scope (products, services, geographical area, and time period), in exchange for agreed-upon licensing fees and royalties, while maintaining the rights of the trademark owner (including the right to oversee the quality of the products and services), and defining the obligations of the Licensee to preserve the reputation of the trademark, not to harm it, comply with quality standards, and the conditions of compensation and penalties, as well as the rights of termination and cancellation, all within a framework of transparency and commitment to the highest standards of intellectual property protection and the governing laws in the Arab Republic of Egypt. The parties have agreed as follows:
Article (1) Definitions of the Contract
1- The following words and phrases, wherever they appear in this agreement, shall have the meanings assigned to them, unless the context clearly indicates otherwise:
2- The Contract: Refers to this Trademark License Agreement in its entirety, including its appendices, with the preamble considered an integral part thereof.
3- The Licensor / Trademark Owner: The first party to this contract, being the legal owner of the registered trademark, authorized to grant licenses for its use to others.
4- The Licensee: The second party to this contract, being the natural or legal person who obtains a license to use the trademark.
5- The Trademark: The registered trademark subject to the license, specifically detailed in Appendix (1) of this contract, including the name, logo, design, colors, symbols, and any other elements that distinguish the mark.
6- Products / Services: The goods or services upon which the Licensee is permitted to use the trademark, as specified in Article (2) of this contract.
7- Scope of License: The geographical area and business field designated for the use of the mark, as defined in Appendix (2) of this contract.
8- Duration of License: The time period during which the license is granted, as specified in Article (3) of this contract.
9- License Fees: The monetary amount that the Licensee is obliged to pay to the Licensor in exchange for the license, as specified in Article (5) of this contract.
10- Royalties: The percentage of net sales of the licensed products or services due to the Licensor, as specified in Article (5) of this contract.
11- Quality Standards: The specifications and standards that must be met in the products or services provided by the Licensee using the mark, as defined in Appendix (3) of this contract.
12- Right of Audit: The Licensor's right to inspect and monitor the quality of the products and services provided by the Licensee to ensure compliance with the agreed-upon quality standards.
13- Exclusivity: The exclusive right of the Licensee to use the mark within the defined scope of the license, whereby the Licensor is not permitted to grant licenses to other parties in the same scope during the license period.
14- Sub-License: Granting the Licensee a license to a third party to use the mark.
15- Registration: The registration of the trademark in the official trademark registry in the Arab Republic of Egypt (or in the countries included in the license).
16- Affiliated Parties: Includes subsidiaries, parent companies, sister companies, as well as directors, employees, contractors, consultants, agents, and representatives.
