This contract is concluded between the two parties whose complete details are specified in the attached contracting form, referred to herein as “the First Party” (the Licensor / Trademark Owner) and “the Second Party” (the Licensee / Beneficiary of the License), collectively referred to as “the Parties.” According to the provisions of the Egyptian Civil Law No. 131 of 1948, the Law for Protecting Intellectual Property Rights No. 82 of 2002 (especially Articles 55-62 regarding trademarks), the Trademark Law No. 45 of 2002, the Commercial Law No. 17 of 1999, the Personal Data Protection Law No. 151 of 2020, and the applicable laws and regulations in the Arab Republic of Egypt, this agreement aims to regulate the trademark licensing relationship between the First Party (the Licensor / Trademark Owner) and the Second Party (the Licensee / Beneficiary of the License), whereby the Licensor grants the Licensee a license to use its registered trademark within a defined scope (products, services, geographical area, and period), in exchange for agreed-upon licensing fees and royalties, while preserving the rights of the trademark owner (including the right to monitor the quality of products and services), and specifying the obligations of the Licensee to maintain the reputation of the trademark, not to harm it, and to comply with quality standards, terms of indemnification and penalties, and rights of termination and conclusion, all within a framework of transparency and adherence to the highest standards of intellectual property protection and the governing laws in the Arab Republic of Egypt. The Parties have agreed on the following:

Article (1) Definitions of the Contract
1- The following words and phrases - wherever mentioned in this Agreement - shall have the meanings set forth next to each of them, unless the context requires another meaning:
2- Contract: refers to this Trademark License Agreement in its entirety, including its appendices, and its preamble shall be considered an integral part thereof.
3- Licensor / Trademark Owner: the first party to this contract, who is the legal owner of the registered trademark, authorized to grant licenses for its use to others.
4- Licensee: the second party to this contract, who is the natural or legal person that obtains a license to use the trademark.
5- Trademark: the registered trademark subject to the license, specifically identified in Appendix (1) of this contract, including the name, logo, design, colors, symbols, and any other elements that distinguish the mark.
6- Products / Services: the goods or services on which the Licensee is permitted to use the trademark, as specified in Article (2) of this contract.
7- Scope of License: the geographical area and commercial field defined for the use of the mark, as specified in Appendix (2) of this contract.
8- License Duration: the period during which the license is granted, as specified in Article (3) of this contract.
9- License Fees: the monetary amount that the Licensee is obligated to pay the Licensor in exchange for the license, as specified in Article (5) of this contract.
10- Royalties: the percentage of net sales of the licensed products or services that the Licensor is entitled to, as specified in Article (5) of this contract.
11- Quality Standards: the specifications and standards that must be met in the products or services provided by the Licensee using the mark, as specified in Appendix (3) of this contract.
12- Right of Supervision: the Licensor's right to examine and monitor the quality of the products and services provided by the Licensee, to ensure compliance with the agreed quality standards.
13- Exclusivity: the exclusive right of the Licensee to use the mark within the defined scope of the license, such that the Licensor is not entitled to grant licenses to other parties within the same scope during the license period.
14- Sub-license: granting the Licensee a license to a third party to use the mark.
15- Registration: registering the trademark in the official trademark register in the Arab Republic of Egypt (or in the countries covered by the license).
16- Related Parties: includes subsidiaries, parent companies, sibling companies, as well as directors, employees, contractors, consultants, agents, and representatives.
