This contract is made between the parties whose complete details are outlined in the attached contracting form, referred to herein as "the First Party" or "the Owner (Employer)," and "the Second Party" or "the Contractor," collectively referred to as "the Parties." The purpose of this contract is to regulate the contractual relationship between the First Party (the Owner / Employer) and the Second Party (the Contractor) regarding the construction of a complete building under the "Turnkey" system, whereby the Contractor commits to construct, finish, and deliver the building ready for use in exchange for a specified fee, in accordance with the agreed-upon plans, specifications, and timetable, while defining the rights and obligations of each party and the mechanisms for supervision and legal guarantees, in accordance with the provisions of the Egyptian Civil Code, which defines a construction contract as an agreement by which one of the contracting parties undertakes to create something or to perform a work in exchange for a fee promised by the other contracting party. The parties have agreed as follows:
Article (1) Subject of the Contract and Scope of Work
1- The first party (the owner) assigns the second party (the contractor), who accepts this, the work of constructing and establishing the building described as follows, on a turnkey basis, where the contractor is obligated to perform all works from the ground up until the building is delivered ready for actual use:

8- The works include all that is necessary for the construction of the building and its delivery ready, including but not limited to: excavation and foundation works, reinforced concrete works, brick or block construction works, rebar and blacksmithing works, electrical installations (wires, switches, meters, and distribution panels), sanitary installations (pipes, faucets, sanitary tools, and boilers), plumbing works, painting and decoration works, tiling, ceramic, and marble works, carpentry works, doors, and windows, insulation works (thermal, water, and sound), final finishing, and final cleaning and waste removal.
9- The attached engineering drawings, technical specifications, and quantity statements to this contract are an integral part of it and will serve as a primary reference in determining the scope of the work and its quality.
Article (2) Drawings, Plans, and Specifications
1- The parties shall prepare or delegate someone to prepare the engineering drawings, plans, and technical specifications for the project, which include: architectural plans (ground floor and repeated floors, facades, and sections), structural plans (foundations, columns, beams, and ceilings), electrical plans (distribution of lighting and power and distribution boards), plumbing plans (distribution of pipes, sanitary fittings, and drainage networks), a bill of quantities and specifications, and any other drawings or specifications agreed upon.
2- All drawings, plans, and technical specifications must be approved by a competent authority (consulting engineer or engineering office), and are considered binding on the contractor in executing the works.
3- The contractor is obligated to execute in complete accordance with the agreed drawings, plans, and specifications, and any deviation from them requires prior written approval from the owner or supervising engineer.
4- The owner is obliged to deliver to the contractor all drawings, plans, and specifications a sufficient time prior to the commencement of work, which shall not be less than days from the date of signing the contract.
5- In the event of any conflict between the different drawings, the architectural plan shall be considered the primary reference, unless the parties agree otherwise.
Article (3) Duration of the Contract and Schedule
1- This contract is concluded for a specified execution period, starting from the date , and ending on , for a total duration of working days.
2- The detailed project schedule is considered an annex to this contract and is an integral part thereof, outlining the timelines for each item of work.
3- The contractor is obligated to adhere to the agreed schedule and inform the owner in writing of any potential delay and its reasons at least days prior to the expected date of delay.
4- In the event the contractor fails to complete the project by the specified date without acceptable excuse, a daily delay penalty of shall be imposed on the contractor, provided that the total penalties do not exceed percent of the total contract value.
5- The owner has the right, after the lapse of days of unjustified delay, to terminate the contract while retaining the right to claim compensation for damages resulting from the delay.
Article (4) Financial Consideration and Payment Method
1- The total financial consideration for the contracting works is estimated at Egyptian Pounds, including all works, materials, equipment, labor, transportation, and taxes (excluding the legally prescribed value-added tax).
2- The first payment (upon signing): pounds, at a percentage of percent of the total contract value.
3- The second payment (upon completion of the concrete and foundations works): pounds, at a percentage of percent of the total contract value.
