Chapter One: General Provisions

1. Introduction

This Subscriptions and Billing Policy (the "Policy") governs the financial provisions relating to the use of the paid services provided by Wthaiq, including subscriptions, billing, payment methods, renewal, fees, taxes, and any other amounts due.

This Policy forms an integral part of the Terms and Conditions of Use, the User Agreement, the Licence Agreement, and the remaining legal policies of the Platform.

2. Scope of Application

This Policy applies to all Users who:

  • Subscribe to any paid service.
  • Purchase additional services or features.
  • Use any service that requires the payment of fees.
  • Benefit from the offers or commercial plans provided by Wthaiq.

3. Acceptance of the Policy

The purchase of any subscription or the use of any paid service constitutes the User's express acceptance of this Policy and of all the fees and financial obligations associated with it.

4. Definitions

For the purposes of this Policy, the following terms shall have the meanings set out against each of them:

Subscription: the annual plan that grants the User the right to use certain services in consideration of fees.

Billing cycle: the period for which the subscription fees are calculated, being one year commencing on the subscription start date, and referred to in this Policy as the "subscription year".

Renewal: subscription to a new annual cycle by payment of its fees.

Payment method: any method accepted by the approved payment provider for the settlement of the fees.

Fees: all amounts due in consideration of the services, the subscriptions, or the additional features.

Signature balance: the number of electronic signatures that the plan makes available to the account during the subscription year.

Custom contract: a contract that the User writes or uploads to the Platform, as distinct from the ready-made contracts in the contract library.

Chapter Two: Subscriptions

5. Types of Subscription

Wthaiq provides the following:

  • The free account.
  • Four paid annual subscription plans: "Professional", "Startups", "Enterprises", and "Strategy".
  • Payment for a single custom contract without a subscription, in accordance with clause 38.
  • The purchase of ready-made contracts from the contract library, in accordance with clause 39.

The price, features, and usage limits of each plan are set out on the pricing page on the website.

6. Activation of the Subscription

The subscription commences upon the successful completion of the payment process, or on the date specified at the time of purchase if the plan so provides.

Certain plans may require additional review or manual activation before the provision of the service commences.

7. Subscription Limits

Usage limits vary according to the plan, and are calculated for each subscription year as follows:

  • The "Professional" plan: 60 electronic signatures per year, 5 custom contracts in the account, and one User.
  • The "Startups" plan: 160 electronic signatures per year, 15 custom contracts in the account, and one User.
  • The "Enterprises" plan: 400 electronic signatures per year, 50 custom contracts in the account, and 5 Users.
  • The "Strategy" plan: 1000 electronic signatures per year, an unlimited number of custom contracts in the account, and 10 Users.

The signature balance is an annual balance commencing on the subscription start date, which the User may use at any time during the subscription year without any per-month limit, and any part of it that remains unused is not carried over beyond the end of that year.

The custom contract limit means the number of contracts that the User has written or uploaded and that remain saved in the User's account. Sending the same contract for signature several times does not increase this number, and contracts whose signing has been completed are not counted towards it in any case.

If the number of custom contracts in the account exceeds the limit of its plan, as may occur after a downgrade, none of them is deleted; only the creation of new custom contracts is prevented until the number falls below the limit.

The available features vary according to the plan, as set out on the pricing page. Among the features made available on the "Enterprises" plan and above are: multi-party signing, the secret code for the signing link, signing with a token (digital certificate), and collaborative editing. Among the features made available on the "Strategy" plan alone are: the public "sign it yourself" link, in-person signing, and campaigns and bulk sending.

The application programming interface (API) does not form part of the limits or the features of any plan; it is available to every account, including the free account, and its use is priced separately according to the volume of usage.

The User may not exceed the prescribed limits: if the signature balance runs out, the User may purchase additional balance or upgrade to a higher plan, and if the custom contract limit is reached, the User may upgrade to a higher plan or delete a custom contract that the User no longer needs.

8. Upgrading or Downgrading the Subscription

The User may upgrade or downgrade the User's subscription plan in accordance with the options provided by Wthaiq. A change of plan, whether an upgrade or a downgrade, takes effect as soon as payment is completed, and the duration of the new annual cycle is added to the expiry date of the current subscription.

An upgrade or a downgrade may result in:

  • An adjustment of the fees.
  • An adjustment of the usage limits.
  • An adjustment of the billing date.
  • An adjustment of the available features.
  • No difference shall be refunded in cash.

Chapter Three: Billing

9. The Billing Cycle

Subscription fees are calculated for a single annual billing cycle commencing on the subscription start date, and the Platform does not offer any billing cycle shorter or longer than one year.

10. Accrual of the Fees

Subscription fees fall due in advance for each billing cycle, unless expressly provided otherwise.

The provision of the paid service does not commence before the fees fall due or the payment process is completed, where the plan requires advance payment.

11. Invoices

The Platform may issue electronic invoices for all payments made through the services.

The invoice may include, as the case may be:

  • The invoice number.
  • The date of issue.
  • The subscription details.
  • The amount of the fees.
  • The applicable taxes, if any.
  • The currency used.
  • Other particulars required by the applicable statutes or regulations.

12. Currencies

The prices of the services may be displayed, or the fees collected, in one or more currencies according to the country, the payment method, or the account settings.

The final amount displayed to the User may differ as a result of currency exchange rates or of charges imposed by the payment service provider or by the bank issuing the payment method, and Wthaiq bears no liability for such differences.

Chapter Four: Payment Methods

13. Accepted Payment Methods

Wthaiq may accept multiple payment methods, including:

  • Credit cards.
  • Debit cards.
  • Electronic wallets.
  • Bank transfers, where available.
  • Local payment methods.
  • Any other methods adopted by the Platform in the future.
  • The Platform may add or remove any payment method at any time.

14. Payment Service Providers

All or part of the payment transactions may be carried out through independent payment service providers.

As a general rule, Wthaiq does not retain full payment card data where such data is processed directly by the payment provider.

The use of the payment services is also subject to the terms, conditions, and policies of the approved payment provider.

15. Verification of Payment Transactions

The Platform or the payment provider may:

  • Verify the validity of the payment transaction.
  • Reject suspicious transactions.
  • Request additional information.
  • Suspend the execution of the order until verification is complete.
  • Cancel the transaction if fraud or a breach of the law is established.

Wthaiq bears no liability for any delay resulting from the verification procedures carried out by the payment provider or by the financial institutions.

16. The User's Responsibility for Payment

The User undertakes the following:

  • To use a payment method that the User is entitled to use.
  • To maintain a sufficient balance or credit limit.
  • To update the payment details upon their expiry or change.
  • To settle all fees due on their due dates.

The User bears all bank charges, currency conversion charges, or charges imposed by the payment provider or by the bank issuing the payment method, unless otherwise provided.

Chapter Five: Renewal

17. Renewal

The Platform does not renew subscriptions automatically and does not carry out any recurring collection; every payment on the Platform is a separate, one-off transaction. A subscription is renewed by the User paying the fees for a new annual cycle.

18. No Automatic Debit

Wthaiq does not automatically debit any fees from the User's payment method without the User's express consent. Should the Platform decide to introduce automatic renewal in the future, it shall notify the User before introducing it, and automatic renewal shall not be activated on the User's subscription except with the User's express consent.

18 bis. Saved Cards and Purchases with the Company Card

The User may agree, on the bank's page, to save the User's card for subsequent payments, in which case the bank keeps it in its secure vault; the card is used only in a payment transaction that the User requests or authorises in accordance with the following paragraph, and the Platform retains about it only what the Privacy Policy sets out. The User may remove it from the account at any time.

The holder of a team account may authorise such members of the team as the holder chooses to make purchases with the card set as the default in the holder's account, within the amount and the categories that the holder sets for each of them. Every purchase a member makes under that authorisation is a separate, one-off transaction that the account holder is deemed to have authorised in advance; the account holder is notified of it and remains responsible for it towards the Platform. The account holder may amend or withdraw that authorisation at any time, and doing so does not affect any transaction completed before it.

19. Failure of the Payment Transaction

If the payment transaction is not completed or is declined, the subscription, the renewal, or the requested service shall not be activated until payment is successfully completed, and the Platform may notify the User that there is a payment problem.

Wthaiq bears no liability for any losses resulting from the non-activation of the service or the expiry of the subscription on account of payment not being completed.

20. Updating the Payment Details

The User bears responsibility for maintaining the accuracy of the User's payment details.

The Platform bears no liability for any inability to complete payment or renewal on account of the expiry of the payment method, the insufficiency of the balance, or any cause attributable to the User or to the payment provider.

Chapter Six: Prices and Taxes

21. Prices

The prices of the subscriptions and the services are set out on the official pricing page of Wthaiq.

The Platform may amend the prices in the future in accordance with the provisions of this Policy.

22. Taxes

Unless expressly stated otherwise, the fees announced may not include taxes, governmental charges, value added tax, or any other statutory charges that may be applicable.

The User bears the payment of the taxes or charges imposed by law on the use of the services, unless the law provides otherwise or the Platform announces that the price is inclusive of them.

23. Change of Prices

Wthaiq may amend the prices of the subscriptions or the services at any time.

An amendment of the prices does not affect the current subscription cycle, but applies to subsequent renewal cycles or to new subscriptions, unless the law requires otherwise.

Where appropriate, the Platform shall notify Users of material changes a reasonable period before they take effect.

24. Offers and Discounts

The Platform may provide promotional offers, discounts, or discount codes in accordance with the terms specific to each offer.

A discount code applies at the moment of payment and to that payment alone; it is not applied retroactively to an earlier transaction, does not extend to subsequent renewals, and is not converted into balance or into a cash amount.

The User may not:

  • Misuse the offers.
  • Circumvent their terms.
  • Combine offers where the terms of the offer do not permit this.
  • Demand the extension of any offer after its term has expired.

The Platform may cancel any discount or feature obtained as a result of unlawful use or of use in breach of the terms of the offer.

Chapter Seven: Credit and Invoices

25. Balances

Where Wthaiq provides a credit balance, a promotional balance, or usage credits, the use thereof is subject to the terms determined by the Platform.

Unless expressly provided otherwise:

  • The balance does not constitute deposited funds.
  • It does not accrue any interest.
  • It may not be redeemed for cash.
  • It may not be sold or transferred to third parties.
  • It may have an expiry date.

If the User withdraws a signing request before the other party opens the signing link, the signature unit returns to the User's balance as an internal usage balance, and its value shall not in any case be refunded in cash. The unit does not return once the link has been opened, and a unit debited from the plan balance does not return if the subscription year from which it was debited has ended. For the public "sign it yourself" link, the User sets, when creating it, the number of signatures the link may receive; that number is reserved from the User's balance, and one unit is debited from it for each signature completed through the link. A unit held for a signature that was started but not completed before its time limit lapsed returns to the link while the link remains active. When the link ends or is stopped, the unused units of the reserved number return to the User's balance, and the units matching signatures that were started but not yet completed remain reserved until the signature is completed, whereupon its unit is debited, or its time limit lapses, whereupon its unit returns to the User's balance. The value of returned units shall not be refunded in cash, and units reserved from the plan balance do not return if the subscription year from which they were reserved has ended.

26. Electronic Invoices

The User agrees to receive invoices and financial notices in electronic form.

The Platform may retain the invoices electronically and make them available to the User through the User's account or send them to the registered email address.

27. Objection to Invoices

If the User believes that there is an error in an invoice or in a debit transaction, the User must notify Wthaiq within the period determined by the Platform or within a reasonable period from the date of issue of the invoice.

The Platform may request additional information or documents before determining the objection.

The submission of an objection does not suspend the accrual of the amounts that are not in dispute.

28. Correction of Errors

Wthaiq reserves the right to correct any accounting, technical, pricing, or arithmetical error that may appear in the invoices, the prices, or the debit transactions.

Where the error has resulted in the collection of an incorrect amount, the Platform may effect the appropriate settlement in accordance with the applicable law.

Chapter Eight: Suspension of Services for Non-Payment

29. Suspension of the Services

If the fees due are not settled on their due date, Wthaiq may, after taking such measures as it deems appropriate, suspend some or all of the services until the amounts due are settled.

The suspension of the service does not constitute a breach by the Platform of its obligations where it is caused by non-payment.

30. Reactivation of the Services

The services may be reactivated after the settlement of the fees due and the satisfaction of any other requirements that the Platform deems necessary, in accordance with the operational procedures in force.

Wthaiq does not guarantee the retention of all data, features, or settings if the suspension of the account or of the subscription continues for an extended period, this being in accordance with the data retention policies.

31. Unpaid Amounts

All fees due remain payable even after the suspension of the services or the termination of the subscription, without prejudice to any mandatory provision of the applicable law.

The Platform may take the appropriate legal or contractual measures to collect the amounts due, this being to the extent permitted by law.

Chapter Nine: General Provisions

32. No Set-Off

The User may not deduct or set off any amounts that the User claims to be owed against the fees due to Wthaiq, unless the Platform has agreed to this in writing or the law expressly permits it.

33. No Waiver

The forbearance of Wthaiq from collecting any amount due, or its delay in doing so, does not constitute a waiver of its right to claim that amount subsequently, this being to the extent permitted by law.

34. Amendment of the Policy

Wthaiq may amend this Policy where there is operational, legal, or commercial necessity.

The amendments enter into force from the date of their publication or from the date specified therein, and the continued use of the services or the renewal of the subscription is deemed to constitute acceptance of them.

35. Integration with the Legal Documents

This Policy shall be construed together with the Terms and Conditions of Use, the User Agreement, the Licence Agreement, the Refund Policy, the Cancellation Policy, and the remaining legal policies of Wthaiq.

In the event of a conflict, priority shall be as provided for in the Terms and Conditions of Use, unless the law requires otherwise.

36. Entry into Force

This Subscriptions and Billing Policy enters into force as of the date set out at its beginning, and remains applicable to all subscriptions and paid services provided by Wthaiq until it is amended or replaced.

Chapter Ten: Advanced Financial Provisions

37. Additional Services

Wthaiq provides optional services in consideration of fees separate from the subscription, including:

  • Additional signature balance.
  • Ready-made contracts from the contract library, the purchase of which is a permanent purchase in accordance with clause 39.
  • Payment for a single custom contract in accordance with clause 38.
  • Use of the application programming interface (API), which is priced separately according to the volume of usage.
  • The prices and terms in force at the time of purchase shall apply to these services.

38. Payment for a Single Custom Contract

A non-subscriber may pay, once for each custom contract, the amount displayed to the non-subscriber on the pricing page and at checkout at the time of purchase, which enables the non-subscriber to send that contract for signature once, to one party or to several parties, and to download a clean copy of it.

The same contract may be re-sent to the same parties free of charge for as long as its signing has not been completed. Changing the parties, or sending the contract again after its signing has been completed, requires a new payment.

This amount is charged in Egyptian pounds exactly as it stands where payment is made in Egyptian pounds; where the User pays through the international payment gateway, the equivalent amount displayed to the User at checkout applies.

39. Ready-Made Library Contracts

The purchase of a ready-made contract from the contract library is a permanent purchase, and the User may reuse it and download it without limit.

40. Downloading Contracts

No balance is debited from the User for downloading contracts. The following rules apply in their order, so that a contract is governed by the first rule applicable to it:

  • A contract whose signing has been completed is downloaded free of charge and without limit, irrespective of any subscription or balance.
  • A custom contract for which the User has paid in accordance with clause 38 is downloaded as a clean copy.
  • A custom contract that is edited in the Platform's editor and has not been sent for signature is deemed a draft, and is downloaded only as a copy bearing a watermark reading "DRAFT — NOT VALID FOR SIGNATURE".
  • The same contract, once sent for signature and while its signing has not been completed, is downloaded as a non-final copy bearing the words "AWAITING SIGNATURE — NOT FINAL".
  • A PDF file that the User has uploaded and not edited, or has sent for signature and whose signing has not been completed, is downloaded as uploaded, without any addition.
  • A PDF file that the User has uploaded and edited and has not sent for signature cannot be downloaded; the User may send it for signature and then download the signed copy free of charge once its signing has been completed.

41. Excess Usage (Overage)

The Platform does not automatically charge fees for usage exceeding the limits of the plan. If the signature balance runs out, the User may purchase additional balance or upgrade to a higher plan, and the Platform may restrict usage exceeding the limits until the User does so.

42. Trial Periods

Wthaiq may offer free trial periods for certain services.

Unless announced otherwise:

  • The trial period may be terminated at any time.
  • The available features may differ from those of the paid subscription.
  • The Platform is not obliged to make the trial period available to all Users.
  • The User may be prevented from benefiting from more than one trial period where misuse thereof is established.

43. Pricing Errors

If a technical, software, or human error results in the display of a manifestly incorrect price, Wthaiq reserves the right to cancel the order or to correct the price before the performance of the service, while notifying the User and refunding any amounts collected without lawful basis, where this is required.

Chapter Eleven: Enterprise Billing

44. Enterprise Accounts

The Platform may provide plans dedicated to companies or institutions that include different financial terms, such as:

  • Higher usage limits.
  • A greater number of Users.
  • Consolidated invoices.
  • A dedicated account manager.
  • Special payment terms.
  • Where a separate agreement exists with the enterprise client, its provisions shall apply to the matters that it governs.

45. Purchase Orders

If Wthaiq accepts dealing by way of Purchase Orders, the acceptance of the purchase order does not constitute acceptance of any additional terms imposed by the client unless the Platform has agreed to them in writing.

46. Deferred Invoices

If Wthaiq agrees to grant a payment grace period to certain clients, the invoices must be settled within the agreed period.

The Platform may suspend the services or withdraw those facilities in the event of delay in payment.

Chapter Twelve: Additional Final Provisions

47. No Waiver of the Financial Rights

No delay or forbearance by Wthaiq in claiming any fees or amounts due shall cause it to be regarded as having waived its right to collect them, this being to the extent permitted by law.

48. Financial Review

The Platform may review the payment transactions, the invoices, or the usage where it has reasonable grounds to believe that there is an error, fraud, or a breach of this Policy.

49. Combating Financial Fraud

Wthaiq may refuse or suspend any purchase or subscription where reasonable indications are established of:

  • The use of an unauthorised payment method.
  • Fraudulent activity.
  • Money laundering.
  • A violation of the applicable sanctions or financial regulations.
  • Misuse of the offers or the discounts.

50. Continuation of the Financial Obligations

The termination of the account, the subscription, or the services does not extinguish any fees, amounts, or financial obligations that arose before the date of termination.

51. Severability of the Policy

If any provision of this Policy becomes ineffective or unenforceable, this shall not affect the validity or the effectiveness of the remaining provisions.

52. The Official Version

The version published on the Wthaiq website is the official approved version of the Subscriptions and Billing Policy, and supersedes any previous version.

Chapter Thirteen: Advanced Financial Provisions

53. Disputes Relating to Payment Transactions

If the User objects to any payment or debit transaction, the User must contact Wthaiq before submitting any objection to the bank or to the payment service provider, wherever this is possible, so as to enable the Platform to review the transaction and to attempt to resolve the dispute.

This clause does not prevent the User from exercising any mandatory rights conferred by law.

54. Payment Reversals (Chargebacks)

If the User requests the reversal of the value of a payment transaction through the bank or the card issuer without a legal or contractual justification, Wthaiq may, to the extent permitted by law:

  • Suspend the account or the subscription.
  • Claim the amounts due.
  • Suspend the provision of the services until the dispute is concluded.
  • Take the legal measures necessary to protect its rights.

55. Financial Processing Errors

If a technical, banking, or operational error results in the debit of an incorrect amount or in the failure to debit the fees due, Wthaiq may correct that error and effect the appropriate settlement after notifying the User, wherever this is possible.

56. Foreign Currencies

If the payment transaction is made in a currency other than the currency used by the User, the bank or the payment service provider may apply an exchange rate or additional charges.

Wthaiq bears no liability for exchange rate differences or for charges imposed by financial institutions.

57. Financial Compliance

Wthaiq may refuse or suspend any payment transaction where this is necessary in order to comply with anti-money laundering laws, counter-terrorist financing laws, economic sanctions, or any applicable regulatory requirements.

Chapter Fourteen: Additional Final Provisions

58. No Creation of a Credit Relationship

The acceptance of any subscription or the grant of a payment grace period in respect of it does not create a credit or financing relationship between Wthaiq and the User, unless this has been expressly agreed in writing.

59. Priority in the Interpretation of the Fees

In the event of a conflict between the prices published on the website and a special offer submitted to the User in writing by Wthaiq, priority shall be given to the written offer during its period of validity and within the limits of the terms contained in it.

60. Retention of the Financial Records

Wthaiq may retain the records of invoices, payments, and financial transactions for such period as it deems appropriate in order to comply with legal, tax, or accounting requirements or in order to defend its rights.

61. Survival of the Financial Provisions

All provisions relating to the fees, the invoices, the taxes, the amounts due, the settlement of financial disputes, and collection remain in force even after the expiry of the subscription or the closure of the account, this being to the extent necessary for the performance of the existing obligations.

62. Final Acknowledgement

The User acknowledges that the User has examined the Subscriptions and Billing Policy, has understood all the fees, the financial obligations, and the payment and renewal mechanisms set out therein, and agrees to be bound by it upon purchasing any service or subscription from Wthaiq and throughout the period of the User's use of the Wthaiq services.

Governing Law and Jurisdiction

This document shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, and the competent Egyptian courts shall have jurisdiction to determine any dispute arising out of it or relating to it, and any arbitration — should the two parties agree upon it — shall be conducted within the Arab Republic of Egypt and in accordance with its laws, without prejudice to any mandatory rights afforded to the User under the applicable laws of the User's country of residence.
